1. Introduction

Welcome to Spaidz! These Terms & Conditions ("Terms") govern your use of the Spaidz platform, a two-sided media streaming service connecting content creators ("Creatives") with viewers ("Consumers"). By accessing or using Spaidz, you agree to be bound by these Terms.

2. Definitions

3. User Accounts and Registration

3.1 Account Creation: Users must provide accurate and complete information during registration, including role selection (Creative or Consumer).

3.2 Account Security: Users are responsible for maintaining the confidentiality of their account credentials and for all activities under their account.

3.3 Role Restrictions: Users must select either Creative or Consumer role. Role changes require re-verification.

3.4 Age Requirements: Users must be at least 18 years old to create an account. Users under 18 may use the platform under parental supervision.

4. Creative Requirements and Verification

4.1 EON Insurance Requirement: All Creatives must maintain valid EON (Entertainment Industry) insurance coverage and provide proof of coverage during verification.

4.2 Content Rights: Creatives must be able to grant Spaidz an available digital streaming license for each title they upload. Owning the copyright or “film rights” is not sufficient if exclusive AVOD, TVOD, SVOD, FAST, airline, or territorial rights have already been granted to another party for a term. Required documentation includes:

5. Consumer Payout Incentive (CPI) Program - Legal Compliance Notice

5.1 CPI Overview: Creatives may allocate a budget to pay Consumers who fully watch their content. This is NOT a gambling, lottery, or sweepstakes program.

5.2 Guaranteed Payouts: CPI payments are GUARANTEED to every Consumer who completes qualifying content. There is NO element of chance, randomness, or lottery involved.

5.3 No Gambling Elements: This platform explicitly avoids all gambling law violations by ensuring:

5.5 Subscription Fee Transparency: The standard subscription fee provides access to the entire content library. CPI payments are additional incentives from Creatives, not the primary purpose of the subscription.

5.6 Payout Security: CPI is paid in US dollars. Consumers withdraw available CPI to a US bank account through Stripe or to PayPal. Spaidz does not pay CPI in cryptocurrency. Stripe and PayPal process those transfers. Spaidz keeps records of CPI earnings and payouts to operate the program, prevent fraud, and meet tax obligations.

5.7 Payment Processing: CPI payments are automated and processed within 24-48 hours of content completion.

5.8 Tax Responsibilities: Consumers are responsible for reporting CPI earnings as income for tax purposes. Spaidz will provide necessary tax documentation (1099 forms) for earnings exceeding $600 annually.

5.9 Payment Limits: CPI amounts are set by Creatives and may vary by content. Spaidz reserves the right to set maximum CPI limits.

5.10 Fraud Prevention: Spaidz monitors for fraudulent viewing patterns and reserves the right to withhold payments for suspicious activity.

5.11 Legal Compliance: This CPI program is designed to comply with all applicable federal and state laws, including gambling regulations, consumer protection laws, and sweepstakes requirements.

6. Content Ownership and Licenses

6.1 Creative Content: Creatives retain ownership of their uploaded content but grant Spaidz a non-exclusive, worldwide, royalty-free license to:

6.2 Revenue Sharing: Under the User Percentage (UP) model, Creatives earn 70% of net subscription revenue (after applicable third-party app-store fees, such as Apple's in-app purchase commission on App Store subscriptions), allocated by completed viewership share among Creatives. CPI (Consumer Payout Incentive) is separate optional marketing spend funded by Creatives to reward Consumers who fully watch qualifying content; CPI does not reduce UP subscription-share earnings. UP amounts accrue as described in the app and appear in your Creative dashboard. Withdrawals or transfers of UP amounts to your US bank (Stripe Connect), a saved PayPal email (USD), or an eligible debit payout method (when offered) are subject to a waiting period of 90 calendar days from the last calendar day of the applicable earnings month, measured in Coordinated Universal Time (UTC), so consumer subscription funds can settle before payout.

6.3 Content Removal: Creatives may request removal of their own titles at any time through Content management in the app or by contacting Support@Spaidz.com.

When you request removal:

Spaidz reserves the right to remove content immediately that violates these Terms, applicable law, or the Acceptable Use Policy.

6.4 Platform Content: All other content on Spaidz is owned by or licensed to Spaidz and protected by intellectual property laws.

6.5 Catalog Term and Continuation: After QC approval, a title remains available on Spaidz for one year. The first year is included in the applicable Submission Review Fee. Continuation is not automatic. Spaidz will notify the Creative before the year ends (typically 60, 30, and 14 days prior). If the title had meaningful watch activity during that year — including UP Pay accrual, completed views, or an active CPI plan — Spaidz waives the continuation fee for the next year. If the title had no meaningful watch activity, the Creative may keep it stored and available by paying a catalog continuation fee of $399 USD per title per year. If the Creative does not renew, Spaidz will delist the title from browse, search, and discovery. Files may be retained for up to 30 days after delisting so the Creative can renew or request a copy, then may be deleted. This catalog term does not limit Spaidz’s right to remove content for rights issues, applicable law, or the Acceptable Use Policy, and does not limit the Creative’s right to request removal under Section 6.3. Catalog continuation fees are non-refundable once the new year of availability begins.

7. User Conduct and Prohibited Activities

7.1 Permitted Use: Users may use Spaidz for lawful purposes in accordance with these Terms.

7.5 Acceptable Use Policy: Additional prohibited categories—including adult sexual services content, certain intellectual property and proprietary-rights misuse, copyright-infringing distribution, and violent extremism or hate toward protected groups—are described in the in-app Acceptable Use Policy (Profile → Settings). Reports for general policy or safety concerns may be sent from a title’s Report action or to abusereport@spaidz.com. Copyright complaints must follow the DMCA Copyright Policy and DMCA@Spaidz.com.

8. Payment Processing and Tax Responsibilities

8.1 Payment Security: All payments are processed through secure, encrypted systems with fraud protection.

8.2 Tax Documentation: Spaidz will provide appropriate tax forms (1099, W-9) for users earning above applicable thresholds.

8.3 User Tax Responsibilities: Users are solely responsible for:

8.5 Payment Disputes: Users must report payment discrepancies within 30 days of transaction date.

9. Privacy and Data Protection

9.1 Data Collection: Spaidz collects user data as described in our Privacy Policy to provide and improve services.

9.2 Data Security: We implement industry-standard security measures to protect user data and payment information.

9.3 Data Sharing: User data may be shared with service providers, legal authorities when required, or with user consent.

9.4 User Rights: Users have rights regarding their personal data as outlined in our Privacy Policy.

10. Disclaimers and Limitation of Liability

10.1 Service Availability: Spaidz is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service availability.

10.2 Limitation of Liability: Spaidz shall not be liable for any indirect, incidental, special, or consequential damages arising from:

10.4 Indemnification: Users agree to indemnify and hold harmless Spaidz from claims arising from their use of the platform or violation of these Terms.

11. Account Termination

11.1 Termination by Spaidz: We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

11.2 Termination by User: Users may terminate their account at any time by contacting support.

11.3 Effect of Termination: Upon termination:

12. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.

12.2 Jurisdiction: Any disputes will be resolved in the courts of New Jersey.

12.3 Arbitration: For disputes exceeding $10,000, parties agree to binding arbitration under the rules of the American Arbitration Association.

12.4 Class Action Waiver: Users waive the right to participate in class action lawsuits.

13. Changes to Terms

13.1 Modification Rights: Spaidz reserves the right to modify these Terms at any time.

13.2 Notification: Users will be notified of significant changes via email or platform notification.

13.3 Continued Use: Continued use of the platform after changes constitutes acceptance of new Terms.

13.4 Effective Date: Changes will be effective immediately upon posting unless otherwise specified.

14. Legal Compliance and Anti-Gambling Measures

14.1 Gambling Law Compliance: Spaidz operates in strict compliance with all applicable gambling and lottery laws. Our platform does NOT offer gambling, lotteries, or chance-based rewards.

14.2 Consumer Protection: All incentive programs are designed with full transparency and consumer protection in mind, including:
